CONDITIONS
Additional information:
1.1
The present agreement granting access to the educational
content is for the period specified in the above table, beginning at the time
of the transmission of the access code to the client following receipt of payment.
1.2
Method of payment retained by the client is:
- Money
- Postal money order
- Online order
2.
PARTICULARS
2.1
In consideration of the services granted to him,
the client agrees to give to NWC-EducExpert Inc. and Urgences-Santé (hereafter
named "Partner")his comments on any desirable improvements to the implementation
formula and to the educational content, at the address sales@educexpert.com
2.2
Customer service is available from Monday through
Friday, from 9:00AM to 5:00PM (eastern time) by phone at (418) 694-2115 or by
email at support@educexpert.com.
3.
GENERAL SALES CONDITIONS The general
sales conditions for this order and the others from the client areas follows:
3.1
Use conditions
In using the services rendered by NWC-EducExpert Inc. and its partner the client
undertakes:
3.1.1
To keep confidential and protect the confidentiality
of all information gathered, disclosed or transmitted by NWC-EducExpert Inc. and
its partner
3.1.2
Not to disclose, pass on or by other way transmit
the information given by NWC-EducExpert Inc. and its partner to any third party
and to make sure that this personnel and the learners having access to this information
also undertake not to disclose, pass on or make a transmission of such information
unless authorized by NWC-EducExpert Inc. and its partner;
3.1.3
To make sure that the learners-users personalize
without delay their access code;
3.1.4
To inform and make sure that its personnel informs
each learner-user that he has to keep his access code secret and confidential
and that he has to make sure that no other person has access to alters the information
intended to the learners;
3.1.5
To return to NWC-EducExpert Inc. and its partner,
in good condition save normal wear and tear, any equipment, material or computer
that NWC-EducExpert Inc. and its partner might have provided during the service
period.
3.1.6
To allow and authorize NWC-EducExpert Inc. and its
partner to mention the name of the client as being a user of the products and
services rendered by NWC-EducExpert Inc. and its partner in any advertising or
representation intended for promotion;
3.1.7
To facilitate the transfer of information from NWC-EducExpert
Inc. and its partner to the client's personnel. For this purpose, the client authorizes
NWC-EducExpert Inc. and its partner to contact directly the client's personnel
and to offer complementary services, whether free of charge or not;
3.1.8
To inform his personnel that the client has access,
as a customer, to the academic files of the learners he registered at NWC-EducExpert
Inc. and its partner;
3.1.9
Not to use, copy or otherwise pass on any information,
inquiry, computer program or else given by NWC-EducExpert Inc. and its partner
other than for the use they are intended for, i.e. the training program.
3.2
Limitation of liability and compensation In connection
with the services rendered by NWC-EducExpert Inc. and its partner, the client
agrees that: NWC-EducExpert Inc. and its partner, its directors, employees, officers,
representatives, suppliers, partners or sponsors will not, in any way, be liable
for any damage or prejudice, direct or indirect, exemplary or punitive, suffered
by the client, hispersonnel, his learners and/or any other person, no matter how
they may be related to the application of the present agreement and/or the content,
the use or the application of thee-learning program in risk management and emergency
measures via Internet or other goods and services made available by NWC-EducExpert
Inc. and its partner under the present agreement. In any case, no liability can
be attributed to NWC-EducExpert Inc. and its partner in excess of the amount of
the fees charged by NWC-EducExpert Inc. and its partner to the client for the
specific service concerned. The client promises also and agrees to compensate
and hold harmless NWC-EducExpert Inc. and its partner, its directors, employees,
officers, representatives, suppliers, partners or sponsors against any lawsuit,
loss, claim, demand, cost, penalty and procedure of anykind (including lawyers
fees and legal charges) in all cases of limitation of liability provided for here
in.
3.3
Other provisions
3.3.1
The provisions of the present agreement will be interpreted
in accordance with the laws of the Province of Quebec, Canada;
3.3.2
Any disagreement regarding the present agreement
not amicably settled or any eventual legal proceedings between the parties will
be initiated exclusively in the judicial district of Quebec, Canada;
3.3.3
The fact that any provision of the present agreement
be declared null, and/or illegal will not invalidate the present agreement and
the other provisions will continue to have their full effect.
4.
Certificate
the student can print on-line a certificate delivred by NWC-EducExpert Inc. and
its partner if he/she has successfully completed the evaluation.
